This website affiliate agreement is between you (the "Affiliate") and Back Office Toolkit (the "Toolkit").

The Toolkit is a productivity tool that integrates securely with the back office, helping users analyze and navigate their teams quickly and easily so that they can spend more time doing the things they love and less time crunching numbers.

The Affiliate is a Wellness Advocate Leader interested in promoting www.backofficetoolkit.net (the "Toolkit Website") to their team, group, page or contacts (the "Team Members"). The Affiliate understands the value and functionality of the Toolkit and is able to communicate that to their Team Members using both provided resources as well as their own content.

The Affiliate wishes to direct Team Members to the Toolkit Website using a unique URL (an "Affiliate Link"), and to receive compensation for purchases made by referrals of the Affiliate who use the Affiliate Link (the "Affiliate Customers") of certain applicable Toolkit products and services (the "Affiliate Program").

The parties agree as follows:

1. RESPONSIBILITIES.

a) Of the Affiliate. The Affiliate shall:

i) refer at least 1 Affiliate Customer to the Toolkit per 3-month Quarter;

ii) maintain and actively promote the Affiliate Link to Team Members;

ii) display the Affiliate Link in a manner that does not reflect adversely on the Toolkit or mislead visitors;

iii) use reasonable efforts to ensure the Affiliate Link is functioning and directing Team Members to the Toolkit Website;

iv) refer new, unique and legitimate Team Members (i.e. - Team Members not previously existing to the Toolkit) to the Toolkit Website via the Affiliate Link;

v) not bid on any Toolkit trademark terms on all Search Engines and Social Media platforms. Trademark terms include "simplify your back office", "back office toolkit", "toolkit", or any similar variation of these terms;

b) Of the Toolkit. The Toolkit shall:

i) provide all assistance to the Affiliate to enable the Affiliate to post the Affiliate Link appropriately;

ii) maintain accurate records of the data used to determine the commissions earned by the Affiliate

2 TERM AND TERMINATION.

a) Term. This agreement will be effective from the date the Affiliate is accepted into the program for an initial period of 1 year (the "Term"). Unless either party gives written notice to the other at least 30 days before the end of the Term, this agreement will renew automatically for an additional 1-year term. This automatic extension will continue to apply at the end of each extended period until the agreement is terminated.

b) Termination Procedures. This agreement may be terminated:

i) by either party with 30 days' written notice before the end of a Term;

ii) by either party for breach of any provision of this agreement by the other party,

iii) by the Toolkit at any time and without prior notice, if the Affiliate violates the terms of this agreement, improperly uses the Toolkit's name, logo, or graphics, or includes a link to the Toolkit Website in any form of unsolicited communication such as spam.

c) Effects of Termination. After the termination of this agreement, all licenses granted under this agreement will terminate. The Toolkit shall promptly pay the Affiliate any outstanding commissions owed to the Affiliate for services rendered before the effective date of the termination.

3 COOKIE TRACKING.

The Toolkit uses a First-Click cookie tracking system, meaning the first Affiliate Link that a Team Member clicks on will be the Affiliate who receives credit for the referral, even if the Team Member subsequently clicks on another Affiliate Link before becoming an Affiliate Customer.

4 PAYMENT.

a) Commissions. The Toolkit shall pay the Affiliate 10% of net revenue generated by Paid Orders for the purchase of a Toolkit Product by an Affiliate Customer. Paid Orders mean orders for which the Toolkit has received and processed payment, less the cost of returns and charge backs the Toolkit incurs on any of the Affiliate's referred orders.

b) Timing of Commissions. Commissions will be computed monthly as of the last day of each calendar month and shall be paid within 30 days following the end of the month (NET-30).

c) Minimum Payment. A minimum account balance of $15 is required to receive payout.

5 DISCLAIMER OF WARRANTIES; LIMITATION OF DAMAGES AND LIABILITY.

The Toolkit shall abide by all warranties as they exist on the Toolkit Website. EXCEPT AS SET FORTH IN THIS AGREEMENT, THE TOOLKIT MAKES NO, AND EXPRESSLY DISCLAIMS ALL, WARRANTIES OR REPRESENTATIONS WITH RESPECT TO THE TOOLKIT'S PRODUCTS AND SERVICES PROVIDED TO AFFILIATE CUSTOMERS THROUGH THE AFFILIATE PROGRAM AND ANY SERVICES PROVIDED BY THE TOOLKIT UNDER THIS AGREEMENT INCLUDING ANY IMPLIED WARRANTIES OR WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Additionally, the Toolkit makes no representations that the operation of the Toolkit Website or services will be uninterrupted or error free and it will not be liable for the consequences of any interruptions or errors. Neither the Toolkit nor any of its agents, employees, officers,or directors will be liable for consequential, incidental or special damages, including lost profits, even if it has knowledge of the potential loss or damage. THE TOOLKIT'S LIABILITY SHALL NOT EXCEED THE TOTAL COMMISSION PAID OR PAYABLE UNDER THE AGREEEMENT.

The Toolkit expressly reserves the right to add, delete, or modify its products and services and prices at any time.

6 SEVERABILITY.

If any one or more of the provisions contained in this agreement is, for any reason, held to be invalid, illegal, or unenforceable in any respect, that invalidity, illegality, or unenforceability will not affect any other provisions of this agreement, but this agreement will be construed as if those invalid, illegal, or unenforceable provisions had never been contained in it, unless the deletion of those provisions would result in such a material change so as to cause completion of the transactions contemplated by this agreement to be unreasonable.

7 ENTIRE AGREEMENT.

This agreement constitutes the final agreement of the parties. It is the complete and exclusive expression of the parties' agreement about the subject matter of this agreement. All prior and contemporaneous communications, negotiations, and agreements between the parties relating to the subject matter of this agreement are expressly merged into and superseded by this agreement. The provisions of this agreement may not be explained, supplemented, or qualified by evidence of trade usage or a prior course of dealings. Neither party was induced to enter this agreement by, and neither party is relying on, any statement, representation, warranty, or agreement of the other party except those set forth expressly in this agreement. Except as set forth expressly in this agreement, there are no conditions precedent to this agreement's effectiveness.
